Version v 1.01
IVERIOS Terms of Service
Provider: IVERIOS OÜ, Estonia Version: 1.0
These Terms of Service ("Terms") govern the use of software and services provided by IVERIOS OÜ ("IVERIOS", "we", "us").
1. Customers and accounts
- IVERIOS services ("Services") are available exclusively to businesses, organisations and professionals acting in a business capacity, not to consumers.
- By registering or accepting these Terms, you confirm that you are authorised to represent your organisation ("Customer").
- Customers must provide accurate registration information and maintain valid administrator, billing and security contacts.
- Customers are responsible for their users, account security and activities performed through their accounts.
- IVERIOS may verify an organisation's identity and domain ownership and reject unauthorised registrations.
2. Free services
- IVERIOS may provide selected Services free of charge, subject to applicable usage credits.
- Free IVERIOS Trust Centers must be published on a domain controlled by the Customer and display a visible "Powered by IVERIOS" attribution linking to IVERIOS.
- Removing or concealing the attribution may result in suspension of free use.
- New eligible Customers receive 2,000 welcome credits, valid while their service account remains active.
- Free Services are provided on a best-effort basis, without guaranteed availability.
- IVERIOS may modify or discontinue free offerings with at least 30 days' notice, except where immediate changes are necessary for legal or security reasons.
3. Credits
- Credits are used for hosting, AI processing and other consumption-based functionality.
- Hosting a free Trust Center consumes 1 credit per day.
- AI features consume credits according to processing requirements. As an indication, completing a security questionnaire of approximately 100 questions may consume approximately 100 credits.
- Applicable credit rates or calculation methods and usage records are available in the Service.
- Purchased credits expire 24 months after purchase. Credits included in a subscription expire at the end of that subscription period.
- Credits cannot be transferred, exchanged for money or refunded, except where required by law.
- IVERIOS provides low-credit notifications based on estimated usage, including reminders during the final 30 days and approximately two and one day before expected exhaustion.
- Credit-dependent functionality may be suspended when credits are exhausted.
4. Paid subscriptions
- Pro licences are charged per user and product, monthly or annually. Annual prepayment provides 12 months for the price of 10 monthly payments, unless otherwise agreed.
- Enterprise licences are charged per organisation and product, with agreed user limits and annual prepayment unless otherwise specified.
- Subscription prices, included credits, functionality and user limits are stated in the applicable offer or Order Form.
- Additional users may be activated only after an authorised administrator confirms the applicable additional charges.
- Additional users are charged proportionally for the remaining subscription period unless otherwise agreed.
5. Payments and invoices
- Prices are stated in euros, excluding applicable VAT.
- Payments are made in advance by card or bank transfer, unless otherwise agreed.
- Services and purchased credits are activated after payment confirmation.
- Invoices are issued electronically in accordance with applicable tax and accounting rules.
- VAT is applied according to applicable Estonian and EU legislation, including reverse-charge rules where relevant.
6. Renewal, cancellation and refunds
- Subscriptions renew automatically only where automatic renewal is enabled.
- Customers may disable automatic renewal at any time before the renewal date. Cancellation takes effect at the end of the current subscription period.
- Enterprise agreements may specify different renewal and cancellation conditions.
- Customers retain access to paid Services until the end of the paid period, unless the Service is suspended for a permitted reason.
- Prepaid subscription fees and unused credits are non-refundable, except where required by law or expressly agreed.
- Early termination does not automatically entitle the Customer to a refund.
- Mandatory rights to terminate for material breach or other legally recognised grounds remain unaffected.
7. Service availability and SLA
7.1 Availability commitments
| Service type | Availability |
|---|---|
| Free Services | Best effort |
| Services paid exclusively through credits | Best effort |
| Paid Pro subscriptions | 99.5% monthly |
| Paid Enterprise subscriptions | 99.5% monthly |
Enterprise agreements may provide different commitments.
7.2 Measurement
Availability is measured separately for each calendar month.
Availability = (Total Minutes − Unavailable Minutes) / Total Minutes × 100
A Service is unavailable when a failure attributable to IVERIOS prevents access to its core production functionality.
The monthly permitted downtime is 0.5% of the applicable measurement period.
7.3 Exclusions
The following are excluded from SLA calculations:
- Scheduled maintenance announced at least 48 hours in advance.
- Emergency maintenance necessary for security or service integrity.
- Customer-controlled systems, networks or configurations.
- Unavailability caused by Customer actions.
- Qualifying Force Majeure Events.
- Suspensions permitted under these Terms.
Ordinary failures of hosting providers and other infrastructure selected by IVERIOS are included in SLA calculations unless their underlying cause independently qualifies as Force Majeure.
7.4 SLA compensation
If monthly availability falls below 99.5%, the Customer is entitled to compensation proportional to the downtime exceeding the permitted allowance ("Excess Downtime").
Monthly subscriptions:
Compensation = (Excess Downtime in minutes / 1,440 / 30) × Monthly Subscription Fee
Annual subscriptions:
Compensation = (Excess Downtime in minutes / 1,440 / 365) × Annual Subscription Fee
For example:
- One full day of Excess Downtime results in compensation equal to 1/30 of the monthly subscription fee.
- One full day of Excess Downtime results in compensation equal to 1/365 of the annual subscription fee.
Compensation applies only to the affected Service, is calculated using fees excluding VAT and cannot exceed the amount paid for that Service during the applicable subscription period.
Free Services and Services paid exclusively through credits are not eligible for SLA compensation.
7.5 Claims and payment
- Customers must submit SLA claims within 30 days after the affected calendar month.
- IVERIOS verifies claims using available monitoring and operational records.
- Approved compensation is credited against the next invoice or refunded if no further invoice will be issued.
- SLA compensation is the agreed contractual remedy for failure to meet the availability commitment, to the extent permitted by law.
- Mandatory statutory rights and liabilities remain unaffected.
8. Force majeure
- Neither party is liable for failure or delay caused by extraordinary events beyond its reasonable control that could not reasonably have been prevented or overcome ("Force Majeure").
- Such events may include natural disasters, war, terrorism, government restrictions, widespread critical infrastructure failures and extraordinary cyberattacks despite appropriate preventive measures.
- Ordinary equipment failures, hosting outages, insufficient resources and preventable security incidents do not automatically constitute Force Majeure.
- The affected party must notify the other party without undue delay and take reasonable measures to minimise the impact.
- Periods of unavailability directly caused by qualifying Force Majeure Events are excluded from SLA calculations.
- If Force Majeure prevents substantial service delivery for more than 30 consecutive days, either party may terminate the affected Service.
- Following such termination, unused prepaid subscription fees attributable to the period after termination will be refunded. Credits remain subject to their applicable terms and mandatory law.
9. Customer content and intellectual property
- Customers retain ownership of their uploaded documents, information and other content ("Customer Content").
- Customers authorise IVERIOS to host, process, analyse, translate and display Customer Content as necessary to provide the Services.
- Customers are responsible for the legality, accuracy, confidentiality and publication of their content.
- Information published through a Trust Center represents the Customer's statements and is not independently verified or certified by IVERIOS unless expressly indicated.
- IVERIOS retains ownership of its software, technology, trademarks and documentation.
10. Artificial intelligence
- AI features may generate classifications, translations, recommendations, questionnaire responses and other outputs.
- AI outputs may contain errors. Customers are responsible for reviewing them before publication, submission or material business decisions.
- Automated assessments do not constitute formal certification, independent audit opinions or legal advice.
- IVERIOS will not use Customer Content to train general-purpose AI models without the Customer's explicit authorisation.
- Third-party AI processing providers and relevant processing arrangements are disclosed through the IVERIOS Trust Center and applicable Data Processing Agreement.
11. Confidentiality and security
- Each party must protect the other party's non-public confidential information and use it only for authorised contractual purposes.
- IVERIOS applies appropriate technical and organisational measures to protect Customer data.
- Customers must protect their accounts and notify IVERIOS without undue delay of suspected unauthorised access.
- IVERIOS will notify affected Customers of confirmed security incidents involving their data in accordance with applicable law and contractual obligations.
- Information about implemented security measures is available through the IVERIOS Trust Center.
12. Personal data protection
- Where IVERIOS processes personal data on behalf of a Customer, the Customer acts as controller and IVERIOS as processor, unless applicable law requires otherwise.
- The Data Processing Agreement (DPA) forms part of these Terms where applicable.
- IVERIOS may engage authorised sub-processors for hosting, AI processing and supporting services.
- Applicable data locations, sub-processors and international transfer safeguards are described in the Trust Center and DPA.
- IVERIOS acts as an independent controller for certain account, billing, security and business administration activities, as described in its Privacy Notice.
13. Suspension and data deletion
- Services may be suspended when credits are exhausted, subscriptions expire or serious security or contractual violations occur.
- Suspended public Trust Centers may become unavailable.
- Customers may restore Services by renewing subscriptions, purchasing credits or resolving the cause of suspension.
- Customer data is retained for up to 12 months after service termination, unless a different period is required by law or the DPA.
- Customers may export their data before permanent deletion.
- IVERIOS sends deletion reminders approximately 30 and seven days before scheduled deletion.
- Deleted data may remain temporarily in protected backups until backup retention periods expire.
- Accounting and other legally required records may be retained for the statutory period.
- Customers may request earlier deletion, subject to applicable legal and technical requirements.
14. Acceptable use
Customers must not use the Services to:
- Violate laws or third-party rights.
- Publish information without authorisation.
- Access other Customers' data.
- Circumvent security controls.
- Disrupt the Services or conduct unauthorised security testing.
- Abuse credits, licences or free registrations.
- Knowingly publish false or misleading compliance or certification claims.
IVERIOS may suspend access where reasonably necessary to prevent unlawful activity, abuse or security risks.
15. Liability
- IVERIOS provides the Services with reasonable care and skill.
- Except for expressly agreed SLA commitments, uninterrupted or error-free operation is not guaranteed.
- To the extent permitted by law, IVERIOS is not liable for indirect or consequential losses, including lost profits or business opportunities.
- IVERIOS's total aggregate contractual liability is limited to the amount paid by the Customer for the affected Services during the preceding 12 months.
- SLA compensation is calculated separately according to Section 7 and counts towards the applicable liability limit to prevent double recovery.
- Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for intentional misconduct or gross negligence where applicable.
16. Changes to Terms
- IVERIOS may update these Terms for legal, security, operational or business reasons.
- Material changes will be communicated at least 30 days in advance, except where immediate changes are required.
- Where required, an authorised administrator must accept the updated Terms to continue using the Services.
- Customers who reject material changes may terminate the affected Services, subject to applicable contractual and statutory rights.
17. General provisions
- These Terms, applicable Order Forms, product-specific terms, the DPA and any agreed SLA constitute the contractual relationship.
- Individually negotiated terms prevail over these Terms in the event of conflict.
- The parties are independent contractors.
- Neither party's failure to enforce a right constitutes a waiver of that right.
- If any provision is invalid, the remaining provisions remain effective.
- Contractual notices may be delivered electronically to registered Customer contacts.
18. Governing law
These Terms are governed by the laws of Estonia.
Disputes are subject to the competent courts of Estonia unless mandatory law provides otherwise.
